These Purchase Terms should be read in conjunction with the Terms and Conditions of use of the ricardo.com Site, which shall form part of these Purchase Terms. The definitions used in the Terms and Conditions shall equally apply to any defined phrase used in these Purchase Terms.

Please read these Purchase Terms and conditions carefully as they affect your rights and liabilities under the law and set out the terms under which Ricardo makes the products and services available to you.

1. CONSUMERS

1.1 Specific terms in these Purchase Terms shall apply to you only if the purchases are made as a result of a “consumer sale”, as that term is defined by the Sale of Goods Act 1979, as may be amended or repealed. Such terms shall be identified by using “Consumer:” prior to the text of the term. If you are not making any purchase as a result of a consumer sale then such terms shall not apply to you.

2. PRODUCTS AND SERVICES

2.1	We are offering for sale various products and services via the ricardo.com Site and in particular via the e-Store and the Information Services.

2.2	Certain products, such as [information] and software, may be available by electronic download (“e-Products”) or in hard copy as printed text or on storage media device, as applicable (“Hard Copies”). If the product is available in different formats, you shall be entitled to select the format you would prefer.

2.3	The services are available and accessible via the ricardo.com Site only.  The services shall be provided to you for the period of your subscription to the service.

3.	PRICES
 
3.1	Please note that the prices on the ricardo.com Site are guide prices only. The actual price you pay will be the price notified to you in your email receipt.  The actual order value cannot be determined until confirmed in the email receipt as the prices stated on the ricardo.com Site may vary either above or below such price.

3.2	All prices are expressed exclusive of any VAT, delivery charge or customs and excise or other duties payable.  You may select the currency for payment from the choice of Pounds Sterling, US Dollars or Euros.  You acknowledge that any exchange rate applied by the institution providing your chosen method of payment is outside the control of Ricardo.  The email receipt sent to you shall give the full price payable, in your chosen currency, for the order.

3.3	If you consider that the difference between the price charged and the guide price shown on the ricardo.com Site is unacceptable, you shall be entitled to cancel your order.

4.	AVAILABILITY

4.1	If for any reason beyond our reasonable control, we are unable to supply a particular item, we will not be liable to you. Please note that we will not charge you for any such items, or if the charge has already been processed, we will endeavour to credit your account as soon as reasonably practicable.

4.2	Although we will always attempt to fulfil your order, an order of a large quantity of a particular item, in Hard Copy format, can only be fulfilled at our discretion.  We will notify you of the stock available and will confirm when the remainder of your order will be available for delivery.

5.	ACCEPTANCE

5.1 There will be no contract of any kind between you and us unless and until we confirm acceptance of your order by email receipt. Your order is an offer to buy the products or services from us. Nothing that we do or say will amount to any acceptance of that offer until we confirm acceptance of your order by email receipt. At any point up until then, we may decline to supply the products or services to you without giving any reason. At the moment that we dispatch the acceptance of your order by email receipt (and not before), a contract will be made between you and us, and you will be charged for the products or services.

5.2	If you do not agree with these Purchase Terms, you should decline acceptance.  You will be taken back to the ricardo.com Site homepage and your order will not be processed.  If you are a registered user of the ricardo.com Site, you should email the e-Store, as set out below, stating  that you no longer wish to be bound by these Purchase Terms and we will remove your account information from the ricrado.com Site.

5.3	If you do agree to be bound by these Purchase Terms, you should confirm acceptance and you shall be taken to the payment processing stage of the transaction.

5.4	If, during the further stages of the transaction, prior to placing your order, you choose not to enter into contract with Ricardo, you should exit the ricrado.com Site and your order will not be processed.

6.	DELIVERY

6.1	Delivery will be made to the postal address specified by you on the completed order form, if the products are Hard Copies.  If you have requested an e-Product then the e-Product shall be available for down load upon dispatch of the email receipt.

6.2	Delivery of Hard Copies will be made by a third party courier service.  We can not give any guarantee as to the time for delivery of such items.  You shall be able to arrange delivery of the Hard Copies through the ricardo.com Site.  We shall inform you of dispatch.  However, you accept that we are not responsible for failure to deliver.

7.	YOUR OBLIGATIONS

7.1	You shall assume all risk, title and property in the Hard Products upon receipt of the payment in full by Ricardo.  Nothing in these Purchase Terms shall grant to you any licence, title or right to use the intellectual property rights in the Hard Products.

7.2	You are entitled to view, copy, print, access, download and transmit (for the purposes expressly permitted in these Purchase Terms) and store the e-Products or services, provided that you do not :

7.2.1	remove any notices relating to the ownership of copyright or other intellectual property right in the e-Products or services;
7.2.2	modify, translate, reverse engineer, reproduce, decompile, disassemble (except as expressly permitted by law) or create derivative works of any of the e-Products or services;
7.2.3	rent, lease, sub-licence, loan, copy or give or transfer any rights in the e-Products or services in any form, to any person or entity without the prior written consent of Ricardo.

7.3	Any product, process or technology referred to in the products or services may be subject to other intellectual property rights of Ricardo and are not made available hereunder.

7.4	Notwithstanding the limited rights granted to you in accordance with Clauses 7.1 and/or 7.2, Ricardo retains the ownership, title and interest in the intellectual property rights contained in the products or services.

8.	WARRANTIES

8.1	We warrant to you that:

8.1.1	Ricardo is the owner of all legal rights in the products or has been granted a right to use any third party rights that exist in the products;
8.1.2	Consumer: the products are of satisfactory quality and reasonably fit for the purpose intended and the services shall be performed with reasonable skill and care.

8.2	Otherwise than set out in these Purchase Terms, all conditions and warranties, whether express or implied by law, custom, a course of dealing or otherwise, shall be excluded to the fullest extent permitted by law.

9.	RETURN OF HARD COPIES

9.1	We hope you will be happy with your purchase. However, should you feel it necessary to return a Hard Copy, we aim to make the returns process as simple as possible.

9.2	If you are unhappy with any Hard Copies, simply return them in the original packaging within 14 days of dispatch and we will give you a refund on those products or replace the item.

9.3	Consumer: If you are unhappy with any e-Products you should immediately delete the e-Product from your hardware or any other storage device, and send notice within 14 days of the email receipt, to the email address at the bottom of these Purchase Terms.  You shall receive a full refund for such e-Product.

9.4	Non-Consumer:  We request that you ensure that you are absolutely certain that you require such e-Products prior to download as we are unable to refund any payment for e-Products which have been downloaded.  However, we will refund the price, in our absolute discretion, if, within 14 days of the email receipt, you give notice to the email address at the bottom of these Purchase Terms requesting cancellation of the order and we are absolutely certain that you have not downloaded the e-Product.

9.5	If you are unhappy with any services you should send notice, to the email address at the bottom of these Purchase Terms and you shall receive a pro-rated refund for the unexpired portion of the subscription service.  Consumer: If we receive notice within 14 days of the email receipt, we will credit your account with a full refund for the price of the subscription.

9.6	Consumer: Your statutory rights are not affected.

10.	CANCELLATION AND CHANGES

10.1	You can cancel or change any of your current orders up until download of e-Products, delivery of Hard Copies or first use of a subscription service.  You can do this by sending an email to the e-Store at the email address below.

11.	 PAYMENT

11.1	You can pay by any Mastercard, Visa credit card, Switch or Delta debit card. Your credit/debit card details will be encrypted to minimise the possibility of unauthorised access or disclosure. Authority for payment must be given at the time of placing your order. You will not be charged for items until the email receipt for such items has been dispatched.

11.2	Our liability to you in connection with any order will not exceed the total price charged for the relevant items.

11.3	We accept orders only from Web browsers that permit communication through Secure Socket Layer (SSL) technology, for example, 3.0 version or higher of Explorer and versions 3.02 or higher of Netscape. This means you cannot inadvertently place an order through an unsecured connection.

12.	GENERAL

12.1	These Purchase Terms shall be governed by and construed in accordance with the laws of England and any disputes will be decided only by the English courts.

12.2	If any of these Purchase Terms is held by any court of competent authority to be unlawful, invalid or unenforceable, in whole or in part, this will not affect the validity of the remaining Purchase Terms which will continue to be valid and enforceable to the fullest extent permitted by law.

12.3	These Purchase Terms, the Terms and Conditions and the email receipt shall form the entire agreement between Ricardo and you for the purchase of products and/or services.  You should read these Purchase Terms in conjunction with Terms and Conditions, prior to placing any order.  You should also read the Privacy Policy located at the foot of this page which sets out how we will use your personal data.

12.4	In the event of any conflict between these Purchase Terms and the Terms and Conditions, these Purchase Terms shall prevail.
